The Website is operated by Grace 3 Technologies LLC, doing business as Grace3 Technologies ("Grace3," "we," "us," or "our"). By accessing or using the Website, you agree to these Terms of Use and the policies incorporated into them, including our Privacy Policy, Cookie Policy, and Acceptable Use Policy. If you do not agree, do not use the Website. You must have legal capacity to enter into these Terms. If you use the Website on behalf of a company, agency, educational institution, or other organization, you represent that you have authority to bind that organization to these Terms. We may update these Terms from time to time. Changes will be effective when posted on the Website, unless a later effective date is stated. Your continued use of the Website after changes are posted means that you accept the updated Terms.
2. About Us
Grace3 Technologies provides customized, AI-powered information technology solutions and public sector procurement acceleration services. Our work supports federal, state, and local government agencies, educational institutions, critical infrastructure operators, public safety organizations, and technology ecosystem partners, including vendors, resellers, system integrators, and aggregators. Our capabilities may include artificial intelligence, Internet of Things and smart cities, autonomy and robotics, records and information management, education technology, connectivity and mobility, cybersecurity, geospatial and situational awareness, public safety, hardware solutions, and other emerging technologies. Information on the Website is provided for general business and informational purposes. A description of a product, service, contract vehicle, vendor, or capability does not by itself create a contract, purchase order, agency relationship, warranty, or commitment by Grace3.
3. Use of the Website
Subject to these Terms, you may use the Website for lawful business, informational, procurement, and communication purposes. You agree that you will not:
- use the Website in violation of any applicable law, regulation, contract, or government requirement;
- use the Website to commit fraud, misrepresentation, or any other unlawful act;
- interfere with, disrupt, damage, or place an unreasonable burden on the Website or its infrastructure;
- attempt to gain unauthorized access to the Website, related systems, accounts, networks, or data;
- introduce malware, viruses, malicious code, or other harmful material;
- scrape, crawl, harvest, copy, mirror, or collect Website content or data through automated means, except with our prior written permission or as permitted by applicable law;
- use automated requests or other methods to bypass access controls, rate limits, security measures, or technical restrictions;
- reverse engineer, decompile, disassemble, or attempt to discover the source code or underlying structure of the Website, except to the extent that applicable law expressly permits those activities;
- remove, alter, or obscure copyright, trademark, or other proprietary notices;
- use the Website to infringe another person's rights, including privacy, publicity, intellectual property, or contractual rights; or
- use Website content to train, develop, validate, or operate an artificial intelligence or machine learning system without our prior written permission.
We may restrict, suspend, or terminate access to the Website if we reasonably believe that these Terms or applicable law have been violated.
4. Accounts and Submissions
Some Website features may require you to submit information through a contact form, quote request, account, registration page, survey, or other communication channel. You agree to provide information that is accurate, current, and complete. You are responsible for updating information that becomes inaccurate or incomplete. If the Website permits you to create or use an account, you are responsible for protecting your usernames, passwords, authentication codes, and other credentials. You must promptly notify us if you believe that your credentials have been lost, stolen, or used without authorization.
Do not send confidential, classified, export-controlled, sensitive personal, protected health, payment-card, or other restricted information through a general Website form unless the form specifically requests that information and provides an appropriate secure method. The Website is not a secure channel for submitting classified information, controlled unclassified information, personally identifiable information requiring special protection, procurement-sensitive information, trade secrets, or other information subject to special handling requirements. You should use appropriate secure and authorized channels for sensitive government, procurement, security, or business information.
Unless we agree otherwise in writing, information you submit through the Website is not confidential. By submitting information, you represent that you have the right to provide it and that doing so does not violate any law, agreement, or third-party right. You grant Grace3 a non-exclusive, worldwide, royalty-free license to use, reproduce, process, and retain your submission as reasonably necessary to respond to your inquiry, provide requested services, operate and improve the Website, protect our rights, and comply with law. This license does not give Grace3 ownership of your pre-existing intellectual property.
5. Intellectual Property
The Website and its content are owned by Grace3, its licensors, or other identified owners. Website content may include text, graphics, photographs, videos, designs, software, databases, documentation, data, logos, service descriptions, and other materials. Subject to these Terms, Grace3 grants you a limited, revocable, non-exclusive, non-transferable license to access and view the Website for your internal, lawful, and non-commercial use. You may not reproduce, distribute, publish, modify, create derivative works from, publicly display, publicly perform, sell, license, or otherwise exploit Website content without our prior written consent, except as permitted by applicable law.
"Grace3 Technologies," related names, logos, designs, slogans, and marks are trademarks or service marks of Grace3 or its affiliates. You may not use them without prior written permission. Third-party names, logos, product names, and trademarks appearing on the Website belong to their respective owners. Their appearance does not necessarily indicate an endorsement, sponsorship, partnership, or affiliation. If you believe that material on the Website infringes your intellectual property rights, please contact us using the information in Section 13.
6. Third-Party Links
The Website may contain links to third-party websites, platforms, products, services, or resources. Third-party links are provided for convenience. Grace3 does not control, operate, or necessarily endorse third-party websites or resources. We are not responsible for their availability, content, security, privacy practices, products, services, or terms. Your use of a third-party website is governed by that third party's terms and policies. You should review those terms and policies before providing information or engaging in a transaction.
7. Privacy and Cookies
Our collection and use of personal information are described in our Privacy Policy. Our use of cookies and similar technologies is described in our Cookie Policy. By using the Website, you acknowledge that information may be collected and processed as described in those policies, subject to applicable law and your available choices.
8. Accessibility
Grace3 is committed to making the Website accessible to people with disabilities. We seek to support applicable accessibility requirements, including Section 508 where relevant, and generally recognized accessibility practices such as the Web Content Accessibility Guidelines ("WCAG"). Accessibility features may vary across pages, browsers, devices, and third-party content. If you experience an accessibility barrier, please contact us at accessibility@grace3technologies.com and describe the page, content, or function involved. We will consider reasonable requests and work to improve accessibility.
9. Disclaimer of Warranties
To the maximum extent permitted by law, the Website and its content are provided on an "as is" and "as available" basis. Grace3 does not warrant that:
- the Website will be uninterrupted, secure, timely, or error-free;
- the Website will meet your particular requirements;
- content will be complete, accurate, current, or reliable;
- defects or errors will be corrected;
- the Website will be free from viruses or other harmful components; or
- any particular product, service, contract vehicle, vendor, or procurement result will be available or suitable for your needs.
Information on the Website may change without notice. Product availability, pricing, contract eligibility, procurement requirements, delivery times, technical specifications, and other details may depend on applicable contracts, manufacturers, suppliers, funding, agency requirements, and other conditions. Nothing on the Website replaces your own legal, procurement, technical, security, accessibility, or other professional review. To the extent permitted by law, Grace3 disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and warranties arising from course of dealing or usage of trade. Some jurisdictions do not allow certain warranty disclaimers. In those jurisdictions, disclaimers apply only to the extent permitted by law.
10. Limitation of Liability
To the maximum extent permitted by law, Grace3 and its owners, officers, directors, employees, affiliates, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost savings, loss of data, loss of goodwill, business interruption, or procurement delays arising out of or related to:
- your use of, or inability to use, the Website;
- Website content or third-party content;
- any product, service, link, or resource accessed through the Website;
- unauthorized access to or alteration of your submissions or data; or
- these Terms.
To the maximum extent permitted by law, Grace3's total liability for claims arising out of or relating to the Website or these Terms will not exceed the greater of: (1) the amount you paid to Grace3, if any, for access to the Website during the six months before the event giving rise to the claim; or (2) one hundred U.S. dollars (US$100). This limitation does not apply to liability that cannot be limited under applicable law, or to a party's fraud, willful misconduct, gross negligence, infringement of the other party's intellectual property rights, or indemnification obligations to the extent such obligations cannot lawfully be limited. Some jurisdictions do not allow limitations on consequential damages or liability caps. In those jurisdictions, the limitations apply only to the extent permitted by law.
11. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Grace3 and its owners, officers, directors, employees, affiliates, contractors, licensors, and service providers from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
- your unlawful or unauthorized use of the Website;
- your violation of these Terms;
- your submissions or other content provided by you;
- your violation of another person's rights; or
- your negligent or intentional misconduct.
Grace3 will provide reasonable notice of a covered claim and reasonable cooperation at your expense. You may not settle a claim in a manner that admits fault by or imposes an obligation on Grace3 without Grace3's prior written consent.
12. Governing Law and Dispute Resolution
These Terms and your use of the Website will be governed by the laws of Maryland, without regard to conflict-of-law principles. Before filing a formal proceeding, the parties will attempt in good faith to resolve a dispute through informal discussions. A party must provide written notice describing the dispute to the other party at the contact information stated in Section 13. The parties will allow at least 30 days for good-faith discussions. If the dispute is not resolved, it will be resolved by the state or federal courts located in Maryland. Nothing in this section prevents either party from seeking temporary or preliminary injunctive relief to protect confidential information, intellectual property, security, or access to the Website. Nothing in these Terms limits rights or remedies that cannot legally be waived, including rights under applicable consumer protection, privacy, employment, or public-sector laws.
13. Changes to These Terms and Contact Information
We may revise these Terms by posting an updated version on the Website. The updated version will include a revised Last Updated date. If a change materially affects your rights or obligations, we may provide additional notice where required by law. Questions about these Terms may be sent to Grace 3 Technologies LLC, doing business as Grace3 Technologies, 137 National Plaza, Suite 300, National Harbor, MD 20745, info@grace3technologies.com, or (301) 338-8007.

For visitors in jurisdictions that require a legal basis for processing, we may process personal information based on: your consent; the need to perform or take steps toward a contract; our legitimate interests, such as operating, securing, improving, and promoting our business, provided those interests do not override your rights; compliance with legal obligations; or another lawful basis permitted by applicable law.
Where we rely on consent, you may withdraw consent at any time. Withdrawal does not affect processing that occurred before withdrawal and may not affect processing based on another lawful basis.
Where required by law, we will provide a notice at collection describing the categories of personal information collected, the purposes of collection, and applicable rights and choices.
18. Sharing and Disclosure
We may share personal information with the following categories of recipients:
18.1 Service Providers and Processors.
We may use vendors and service providers to host, operate, secure, analyze, support, and maintain the Website and our business. These providers may process information on our behalf and are expected to use it only for authorized purposes. Examples may include hosting providers, customer relationship management providers, communications platforms, analytics providers, cybersecurity providers, information technology providers, scheduling services, and professional services providers.

18.3 Business Partners.
Where relevant to a procurement, customer request, proposal, quote, product, or service, we may share appropriate business contact and inquiry information with vendors, resellers, manufacturers, system integrators, aggregators, or other business partners. We will seek to limit disclosures to information reasonably necessary for the relevant business purpose.
18.4 Government, Legal, and Regulatory Disclosures.
We may disclose information when reasonably necessary to: comply with applicable law, regulation, subpoena, court order, or legal process; respond to a lawful government request; support public-sector procurement, contract administration, audit, or recordkeeping requirements; protect the rights, property, safety, or security of Grace3, our customers, users, or others; or investigate fraud, security incidents, or unlawful activity.

We will not require you to create an account solely to submit a request. You may use an authorized agent to submit a request where permitted by law. We may require proof that the agent is authorized to act for you and may need to verify your identity directly. We generally respond to verified requests within the period required by applicable law. If we deny a request, we will explain the reason where required and describe any available appeal process.

Retention periods may vary based on the type and sensitivity of information, the purpose for which it was collected, applicable contractual requirements, litigation holds, and public-sector recordkeeping obligations. When personal information is no longer needed, we may delete it, anonymize it, or securely isolate it in accordance with our retention and disposal practices.
22. Security
We use reasonable administrative, technical, and physical safeguards designed to protect personal information against unauthorized access, use, alteration, disclosure, and destruction. No system, transmission, or storage method is completely secure. We cannot guarantee that personal information will never be accessed, disclosed, altered, or destroyed in violation of our safeguards. If we determine that a security incident affects personal information, we will provide notices required by applicable law.
